These Terms of Service (“Terms”) govern your use of webwinify.com (the “Site”) and any services provided by Webwinify (“we,” “us,” or “our”), including website design, ecommerce store setup, local SEO, and Google Business Profile management. By using this Site or engaging our services, you agree to these Terms.
1. Services
Webwinify provides website design and development (WordPress and Shopify), local SEO optimization, and Google Business Profile management for small and local businesses. The specific scope, deliverables, timeline, and cost of any project will be agreed upon separately in writing (email, proposal, or invoice) before work begins. These Terms apply alongside, not instead of, that project-specific agreement.
2. Free Site Review
Our free site review is an informal, good-faith assessment of your website’s performance, mobile-friendliness, and search visibility. It does not constitute a guarantee of results, a formal audit report, or a binding commitment to provide services. It is provided to help you understand your website’s current state and decide whether to move forward with us.
3. Quotes and Payment
- All project pricing is provided as a custom quote based on the scope discussed with you.
- Unless otherwise agreed in writing, projects require an upfront deposit before work begins, with the remaining balance due upon completion or according to milestones outlined in your specific project agreement.
- Late payments may result in a pause of work until payment is received.
- All fees are non-refundable once work has begun, except as described in Section 4 (Cancellations).
4. Cancellations and Refunds
- If you cancel a project before work has begun, any deposit paid will be refunded in full, minus any payment processing fees already incurred.
- If you cancel after work has begun, you will be invoiced for work completed up to the cancellation date; any remaining deposit beyond that amount will be refunded.
- We reserve the right to decline or discontinue a project at our discretion, in which case any unearned deposit will be refunded.
5. Project Timeline
Estimated timelines are provided in good faith based on typical project scope but are not guaranteed, as they depend on factors including your timely feedback, content/asset delivery, and revision requests. Delays caused by the client (late feedback, missing content, slow approval) may extend the agreed timeline without penalty to us.
6. Revisions
Each project includes a reasonable number of revision rounds as agreed upon at the start of the project. Requests that significantly expand the original scope (new pages, new features, redesign after approval) may be treated as a new project or billed separately.
7. Ownership
Once a project is paid in full, you own the final website, its content, and its design as delivered. The website, domain, and hosting are set up in your name, and nothing is locked to us or requires our ongoing involvement to function. We retain the right to display completed work in our portfolio, case studies, and marketing materials unless you request otherwise in writing (for example, for confidentiality reasons).
Any third-party themes, plugins, stock images, or licensed assets used in your project remain subject to their own respective licenses, which we will disclose upon request.
8. Client Responsibilities
To keep your project on track, you agree to:
- Provide timely feedback, content, and approvals
- Provide accurate information about your business for use in the website
- Secure necessary rights/permissions for any content, images, or materials you provide to us
- Maintain your own hosting, domain renewal, and any third-party subscriptions (e.g., Shopify plan fees) after project handoff, unless a separate maintenance agreement is in place
9. Ongoing Maintenance and Support
Post-launch support (bug fixes, content updates, uptime monitoring) is not automatically included after project completion unless specifically agreed upon as part of your project scope or a separate maintenance retainer. Details of any such arrangement will be provided separately.
10. No Guarantee of Results
While we apply industry-standard best practices to website performance and local SEO, we cannot guarantee specific search rankings, traffic levels, or business outcomes, as these depend on factors outside our control, including search engine algorithm changes, market competition, and how actively you maintain your online presence after launch.
11. Third-Party Services
Our work may involve third-party platforms and services (e.g., WordPress, Shopify, Google Business Profile, hosting providers, payment processors). We are not responsible for outages, policy changes, or issues caused by these third-party services, though we will make reasonable efforts to help you navigate them.
12. Limitation of Liability
To the fullest extent permitted by law, Webwinify is not liable for any indirect, incidental, or consequential damages arising from the use of our services or website, including lost profits or lost business opportunities. Our total liability for any claim related to a project is limited to the amount you paid us for that project.
13. Confidentiality
We will treat any non-public business information you share with us during a project as confidential and will not disclose it to third parties, except as necessary to complete the project or as required by law.
14. Website Use
If you are simply browsing webwinify.com (not a client), you agree not to misuse the Site, attempt to gain unauthorized access to it, or use it to transmit harmful code. Content on this Site (text, design, portfolio images not belonging to clients) is owned by Webwinify and may not be copied or reused without permission.
15. Changes to These Terms
We may update these Terms from time to time. Continued use of our Site or services after changes are posted constitutes acceptance of the updated Terms. The “Last updated” date at the top of this page will reflect the most recent revision.
16. Governing Law
